WAVE MAKERS / PRODUCT TESTING PROGRAM

Participation in any Program is voluntary and subject to additional terms provided by the Company.

Participants acknowledge and agree that:

(a) products may contain active ingredients, botanicals, marine ingredients, fragrances or other ingredients that may cause irritation, sensitivities or allergic reactions;

(b) participants are solely responsible for reviewing ingredients and determining suitability for personal use;

(c) the Company does not guarantee specific skincare, wellness or cosmetic results;

(d) all testimonials, reviews, comments, photographs, videos, feedback, suggestions and other materials submitted to the Company may be used by the Company for marketing, advertising, product development and promotional purposes without compensation unless prohibited by law;

(e) by submitting content, participants grant the Company a worldwide, perpetual, irrevocable, royalty-free licence to use, reproduce, modify, publish, distribute and display such content in any media;

(f) participants shall comply with all applicable advertising and endorsement disclosure laws, including disclosure of gifted products, compensation or affiliate relationships where applicable;

(g) the Company may remove or reject content at its discretion; and

(h) participation in any Program does not create any employment, partnership, agency or contractor relationship with the Company.

E-COMMERCE AND THIRD-PARTY FULFILLMENT

Orders placed through the Site may be processed, fulfilled, shipped or managed through third-party service providers, manufacturers, logistics companies, payment processors or e-commerce platforms.

WAVE MAKERS PROGRAM TERMS

These Wave Makers Program Terms (the “Program Terms”) govern participation in the Maris Dae “Wave Makers” community, ambassador, educational, testing and promotional program (the “Program”) operated by BETTER BASICS ECO LIFESTYLE COMPANY INC., operating under the brand name MARIS DAE (collectively, “Maris Dae”, “Better Basics”, “Company”, “we”, “our” or “us”).

By applying to, participating in, receiving products through, submitting content to, or otherwise engaging with the Program, you acknowledge that you have read, understood and agree to be bound by these Program Terms and the Company’s Terms of Use and Privacy Policy.

If you do not agree to these Program Terms, you may not participate in the Program.

PROGRAM OVERVIEW

The Program is intended to provide selected participants with opportunities to:

  • receive skincare, wellness or supplement products;
  • participate in product testing or sampling;
  • provide feedback;
  • participate in educational initiatives;
  • create social media or user-generated content;
  • participate in ambassador opportunities;
  • receive promotional opportunities, discounts or affiliate benefits; and
  • engage with the Maris Dae brand community.

Participation in the Program is voluntary and may be modified, suspended or terminated by the Company at any time.

Participation in the Program does not create an:

  • employment;
  • partnership;
  • agency;
  • contractor;
  • fiduciary; or
  • joint venture

relationship with the Company.

ELIGIBILITY REQUIREMENTS

You must be at least eighteen (18) years old to participate in the Wave Makers Program, receive products through the Program, submit content as a Program participant, participate in affiliate opportunities or receive promotional benefits through the Program.

By participating in the Program, you represent and warrant that you are at least 18 years of age.

The Company reserves the right to request age verification and to remove or terminate participants at its discretion.

The Company may refuse participation or revoke Program access at any time for any reason.

PRODUCT USE AND ASSUMPTION OF RISK

Products provided through the Program may contain active ingredients, marine ingredients, botanicals, fragrances, supplements or other substances that may cause:

  • irritation;
  • allergic reactions;
  • sensitivities;

All such information is provided solely for general informational and educational purposes.

Nothing contained in the Program or related materials constitutes:

  • medical advice;
  • diagnosis;
  • treatment;
  • healthcare services; or
  • professional medical services.

You should consult a qualified healthcare provider before using supplements, skincare products or wellness products.

USER GENERATED CONTENT

Participants may voluntarily submit:

  • reviews;
  • testimonials;
  • comments;
  • feedback;
  • photographs;
  • videos;
  • social media content;
  • written content;
  • suggestions; or
  • other materials

(collectively, “User Content”).

By submitting User Content or tagging, mentioning or otherwise sharing content relating to the Company or products, you grant the Company a worldwide, perpetual, irrevocable, royalty-free, transferable and sublicensable licence to:

  • use;
  • repost;
  • reproduce;
  • modify;
  • publish;
  • distribute;
  • display;
  • advertise with;
  • commercialize; and
  • otherwise use

such User Content in any media or platform including:

  • websites;
  • Instagram;
  • TikTok;
  • email marketing;
  • advertisements;
  • paid media;
  • retailer materials;
  • promotional materials;
  • investor materials; and
  • product marketing.

You waive all moral rights relating to User Content to the extent permitted by law.

You represent that:

(a) you own or control the rights to User Content;

(b) User Content is truthful and reflects your honest opinions;

(c) User Content does not infringe third-party rights; and

(d) User Content does not contain unlawful, misleading or defamatory material.

SOCIAL MEDIA DISCLOSURES

If you post content relating to Maris Dae or Company products, you agree to comply with all applicable advertising, endorsement and disclosure laws and guidelines, including:

  • FTC endorsement guidelines;
  • Competition Act requirements;
  • social media platform rules; and
  • applicable influencer disclosure requirements.

You must clearly disclose gifted products, affiliate relationships, sponsorships or compensation where required by law.

You may not make:

  • medical claims;
  • disease claims;
  • therapeutic claims;
  • misleading claims;
  • false advertising claims; or
  • unsubstantiated efficacy claims

regarding Company products.

The Company may request removal or modification of content at any time.

INTELLECTUAL PROPERTY

All Company trademarks, logos, branding, product names, educational materials, graphics, content, photographs, videos and other intellectual property remain the exclusive property of the Company.

No rights or licences are granted except as expressly stated.

CONFIDENTIALITY

Participants agree not to disclose non-public information relating to:

  • unreleased products;
  • launch plans;
  • pricing;
  • formulations;
  • marketing campaigns;
  • influencer initiatives;
  • retailer relationships; or
  • proprietary business information

without prior written consent from the Company.

AFFILIATE PROGRAMS

The Company may provide affiliate links, discount codes, commissions or promotional opportunities to certain participants.  Additional terms may apply to affiliate participation.  The Company may modify or terminate affiliate opportunities at any time.

TERMINATION

The Company may suspend or terminate participation in the Program at any time and for any reason without notice.

The Company may remove content or revoke participation rights at its discretion.

DISCLAIMER OF WARRANTIES

The Program and all related products, content and materials are provided “as is” and “as available” without warranties of any kind.

To the fullest extent permitted by law, the Company disclaims all warranties including warranties of:

  • merchantability;
  • fitness for a particular purpose;
  • accuracy;
  • reliability; and
  • non-infringement.

LIMITATION OF LIABILITY

To the fullest extent permitted by law, the Company and its directors, officers, employees, contractors, affiliates and representatives shall not be liable for:

  • allergic reactions;
  • adverse events;
  • skincare reactions;
  • supplement reactions;
  • indirect damages;
  • consequential damages;
  • lost profits;
  • reputational harm; or
  • claims arising from participation in the Program or use of products.

RELEASE

By participating in the Program, you release and forever discharge the Company and its directors, officers, employees, contractors, affiliates and representatives from claims arising from:

  • participation in the Program;
  • product use;
  • User Content;
  • social media participation; or
  • promotional activities,

except where prohibited by law.

INDEMNIFICATION

You agree to indemnify and hold harmless the Company from claims arising from:

  • your violation of these Program Terms;
  • unlawful or misleading content;
  • misuse of products; or
  • violation of advertising or endorsement laws.

PRIVACY

Personal information collected in connection with the Program shall be handled in accordance with the Company’s Privacy Policy.
